Inmark Life Science Application Terms of Use
Effective date: [INSERT DATE]
Version: [INSERT VERSION]
1. About these Terms
These Application Terms of Use (“Terms”) govern access to and use of the following Inmark Life Science applications:
- Saf-T-Pak Training, including its online training, digital materials, and Course Administration Hub.
- Shipping as a Service, including its organization administration, packaging ordering, and shipping-label features.
- Green Chain Navigator, including its rental packaging ordering, administration, and tracking features.
These applications, including their associated administrative tools and authorized integrations, are collectively referred to as the “Applications.”
These Terms address access to and use of the Applications. Additional agreements and policies may govern training purchases, product sales, shipping services, packaging rentals, payment arrangements, and other transactions.
2. Application providers
“Inmark Life Science” is the customer-facing name used for the services described in these Terms.
The provider of each Application is:
|
Application
|

|
|---|---|
|
Saf-T-Pak Training
|
Saf-T-Pak Inc., a company incorporated in Canada.
|
|

|
Inmark, LLC, through its Life Science division.
|
References to “Inmark,” “we,” “us,” or “our” mean the provider of the Application you are using, unless the context expressly identifies another entity.
Regional Inmark entities, including Inmark Europe B.V. and Inmark SG Pte. Ltd., may be involved in providing products, fulfillment, or related services. The entity responsible for a particular transaction will be identified in the applicable customer agreement, order documentation, or transaction terms.
Use of the Inmark Life Science name does not, by itself, make every Inmark entity a party to these Terms or to a transaction.
[LEGAL REVIEW: Confirm the allocation of contractual responsibilities between the application providers and regional entities.]
3. Users, Organizations, and acceptance
A “User” is an individual who accesses an Application.
An “Organization” is a business or other entity on whose behalf a User accesses an Application.
“You” and “your” refer to the User and, where applicable, the Organization.
Each User must accept these Terms through the registration process before using an Application.
If you establish or administer an Organization account, accept these Terms on behalf of an Organization, or authorize other Users to act for it, you represent that you have the authority necessary to do so.
An individual User’s acceptance does not, by itself, establish that the User is authorized to enter into other agreements or transactions on behalf of an Organization.
If you do not agree to these Terms, you must not complete registration or use the Applications.
4. Other agreements and policies
4.1 Customer-specific agreements
A separate agreement entered into between the relevant Inmark entity and a customer takes priority over these Terms and general policies to the extent they conflict on the same subject.
This may include customer-specific confidentiality agreements, service commitments, warranties, purchasing agreements, training agreements, or rental agreements.
Such an agreement applies only to the parties, services, and subject matter it covers.
4.2 Service-specific terms
Additional terms may apply to:
- Training licenses, product keys, course access, assessments, and certificates.
- Packaging purchases, shipping, returns, and refunds.
- Shipping labels, carrier services, and related charges.
- Packaging rentals, returns, loss, and damage.
- Credit arrangements, purchase orders, and payment terms.
Subject to an applicable customer-specific agreement, service-specific terms control over these Terms for the particular service or transaction they address.
These Terms do not independently establish prices, rental periods, refund rights, carrier obligations, or delivery commitments.
4.3 Privacy notices
Personal information associated with the Applications is addressed in the applicable application privacy notice:
- Saf-T-Pak Training: https://shop.saftpak.inmarklifescience.com/policies/Application-Privacy-Policy
- Shipping as a Service and Green Chain Navigator: https://shop.inmarklifescience.com/policies/Application-Privacy-Policy
Purchases made through an online store may also involve processing described in that store’s privacy notice.
Acceptance of these Terms does not replace any separate consent required for a particular activity.
5. Eligibility and account information
5.1 Saf-T-Pak Training
You must be at least 18 years old to purchase training or register and train independently.
You may purchase and complete training without being associated with an Organization or training administrator.
[CONFIRM BEFORE PUBLICATION: Whether all invited learners must also be at least 18.]
5.2 Organization applications
Shipping as a Service and Green Chain Navigator are intended for authorized Organization use.
You must have the authority required for the activities you perform, including establishing an Organization account, assigning permissions, purchasing products or services, and managing rentals.
5.3 Accurate information
You must provide accurate and current information and must not misrepresent your identity, Organization affiliation, purchasing authority, or permissions.
Where information cannot be changed directly in an Application, contact customer service for assistance. A request does not guarantee that a particular account field or historical record can be changed.
6. Application-specific registration and access
6.1 Saf-T-Pak Training
Creating a training account does not, by itself, provide access to paid courses or documents.
Access to paid materials requires the applicable product key, course key, assignment, or other authorized entitlement. Keys may be purchased through the online store or through purchasing features connected to that store.
Course Administration Hub access requires an applicable administrator key or other authorization provided with the relevant purchase.
You must protect product keys, course keys, and administrator keys from unauthorized use. Inmark recommends using the Application’s invitation and assignment features rather than distributing course keys by email.
6.2 Shipping as a Service
An authorized representative may establish an Organization account.
The person who initially establishes that account serves as its initial Organization owner and must have authority to configure access and purchasing permissions for the Organization.
Before the Organization can place its first order, Inmark must review the account and create an internal customer identifier.
Following approval, credit-card purchasing may be enabled. Purchasing on credit terms requires separate credit approval. Creating a purchase-order record in the Application does not, by itself, establish credit approval or modify payment terms.
Additional Users may join through an invitation or an authorized registration token. Any configured approval requirements continue to apply.
Inmark recommends keeping approval controls enabled for Users who will purchase on behalf of an Organization.
6.3 Green Chain Navigator
Inmark creates the Organization account and invites the designated Organization owner.
The owner completes registration and configures the Organization’s rental settings within the permissions available.
Other Users must receive an invitation before registering for access. General self-registration is not available.
7. Organization ownership and permissions
7.1 General responsibilities
Organizations are responsible for:
- Selecting appropriate owners and administrators.
- Assigning permissions consistent with each User’s responsibilities.
- Reviewing access periodically.
- Promptly removing access when it is no longer authorized.
- Maintaining internal purchasing and operational approval procedures.
Application permissions do not replace an Organization’s responsibility to determine who may act on its behalf.
7.2 Saf-T-Pak Training administration
Authorized training administrators may use available features to:
- Assign training.
- View assigned learners’ progress and completion status.
- Access related completion certificates.
- Complete the administrator or employer signature required by the applicable certificate process.
- Initiate supported account-recovery or contact-verification workflows.
These permissions do not authorize an administrator to use a learner’s credentials, complete training on the learner’s behalf, or falsify a training record.
A learner may be associated with more than one authorized training administrator.
7.3 Shipping as a Service administration
Depending on assigned permissions, administrators may:
- Invite Users.
- View Organization order and shipment history.
- Configure and monitor purchase orders.
- Add carrier accounts and manage shipping settings.
- Configure shipping addresses and permitted shipping destinations.
- Configure custom checkout fields.
- Manage other supported Organization settings.
Each Organization has one owner account. Only that owner may grant administrative permissions through the Admin+ functionality.
Users may be authorized as administrators, purchasing agents, or both.
7.4 Green Chain Navigator administration
Depending on assigned roles, Users may:
- View rental records.
- Create or start rentals.
- Enter tracking and other rental information.
- Configure rental notifications.
- Manage rental settings.
- Upload rental data.
- Invite or manage Users.
Organization owners may assign administrative permissions. Access to one function does not imply permission to use another.
7.5 Multiple Organizations
A Shipping as a Service User may belong to multiple Organizations or business units.
A Green Chain Navigator User may belong to multiple Organizations only after receiving the required authorization or invitation for each.
Access to one Organization does not authorize access to another.
8. Account security and email addresses
You must protect your credentials and must not allow another person to use your individual account.
You must promptly report suspected unauthorized access, compromised credentials, or incorrect permissions to:
customerservice@inmarklifescience.com
Inmark or an authorized administrator may initiate a password-reset or verification process. Users must complete that process themselves through the supported workflow.
8.1 Email-based account access
For Saf-T-Pak Training and Shipping as a Service, a confirmed account email address cannot be changed through the ordinary account process.
Password recovery may require access to that address. Losing access to the associated mailbox may prevent self-service account recovery.
Do not assume that an account created using one employer’s email address can be transferred to a different employer or converted to another email address.
8.2 Employment and Organization changes
Organizations should promptly remove Application access when a User leaves or no longer requires access.
An Organization’s control of its own email systems is separate from Application access. Disabling an email account should not be treated as a substitute for removing Application permissions.
For Saf-T-Pak Training, Inmark may lock an account associated with an Organization email address following a verified request from an authorized representative.
An Organization’s purchase or assignment of training does not, by itself, entitle it to lock a learner’s account registered with a personal or public email address.
Inmark recommends that Organizations consider their access-management requirements before assigning training to accounts using personal email addresses.
9. Permitted use
Subject to these Terms and applicable service agreements, you may access the Applications for their intended purposes within your assigned permissions.
You must not:
- Use an Application for unlawful, fraudulent, or unauthorized purposes.
- Access another User’s account or another Organization’s information without permission.
- Bypass authentication, approval processes, purchasing controls, or other security measures.
- Share individual account credentials.
- Introduce malicious software or interfere with an Application.
- Submit information you know is materially false or misleading.
- Falsify training results, certificates, orders, shipment information, rental events, or other records.
- Copy, distribute, sell, or sublicense Application software or restricted content without permission.
- Use unauthorized automated tools or integrations.
- Conduct security testing without prior written authorization.
- Infringe another person’s intellectual property, privacy, or other rights.
Authorized integrations must comply with the applicable access permissions, technical requirements, and usage limits.
10. Information submitted through the Applications
You are responsible for the accuracy, completeness, and lawful submission of information you provide.
This includes information entered through Organization-configured fields, integrations, uploads, and other supported features.
You must have the authority and permissions necessary to submit the information and allow it to be processed for the applicable service.
As between you and Inmark, you retain any ownership rights you have in your submitted information. You authorize Inmark to process it as reasonably necessary to operate, secure, and support the Applications; provide requested services; and meet applicable legal obligations.
This authorization is subject to the applicable privacy notice and any confidentiality or data processing agreement. It does not transfer ownership of your information.
11. Personal and sensitive information
Provide only the personal information reasonably necessary for the applicable activity.
Where practicable, use business or Organization contact information rather than patient information or unrelated third-party personal information.
Do not use free-text fields, custom fields, attachments, shipment references, or rental records to include unnecessary patient identifiers, clinical details, or other sensitive personal information.
Where third-party information is necessary—for example, a recipient’s delivery contact details—you are responsible for having an appropriate basis to provide it and for limiting it to what the service requires.
The presence of a field or upload feature does not establish that an Application is approved to receive patient or clinical information.
If you believe identifiable patient or clinical information is necessary for a workflow, contact Inmark before submitting it so that the intended use and any required arrangements can be reviewed.
[LEGAL AND OPERATIONAL REVIEW: Confirm whether this section should impose an express prohibition and identify any approved exceptions.]
12. Service boundaries and review of records
12.1 Training
Training access, course coverage, assessment requirements, completion certificates, and employer responsibilities are governed by the relevant training terms and course descriptions.
Administrator access does not authorize altering a learner’s completion history or representing that training was completed when it was not.
12.2 Shipping
Shipping as a Service supports packaging purchases and related shipping-label workflows.
Applicable service terms govern packaging preparation, shipment contents, customer declarations, carrier requirements, charges, cancellations, and claims.
Access to a shipping feature does not, by itself, establish that a particular shipment is permitted or fully prepared.
12.3 Rentals
Green Chain Navigator supports rental administration and tracking.
Users responsible for rental information must provide accurate and timely updates within the applicable rental process.
Displayed rental status and notifications depend in part on the information supplied. They do not replace return, reporting, or payment obligations under the rental agreement.
12.4 Errors and discrepancies
Review information and documents before using them for an operational activity or transaction.
Report material errors, missing records, or discrepancies promptly.
Nothing in this section transfers to the customer a responsibility Inmark has expressly accepted under an applicable agreement.
13. Transactions and payment obligations
Orders and other transactions are subject to applicable permissions, approval processes, and commercial terms.
A draft order, saved request, account registration, or automated receipt does not, by itself, establish order acceptance.
A purchase-order record does not modify agreed payment terms unless Inmark expressly agrees.
Stopping use of an Application, deactivating a User, or closing an Organization account does not cancel:
- Accepted orders.
- Outstanding invoices.
- Active rentals.
- Packaging return obligations.
- Properly assessed charges under an applicable agreement.
Inmark may pursue outstanding amounts in accordance with the applicable agreement and law.
Where permitted by the applicable agreements and law, Inmark may place further purchasing on hold while overdue amounts remain unpaid.
[LEGAL REVIEW: Confirm whether a purchasing hold may extend across Applications or legal entities, and identify the contractual basis for doing so.]
14. Third-party services
The Applications may connect with online stores, payment processors, carriers, identity providers, and other third-party services.
Applicable third-party terms may govern those services.
Third-party changes, restrictions, or outages may affect related Application features. Inmark does not control independent third-party services unless expressly stated otherwise.
This section does not override obligations Inmark has accepted under a customer agreement or responsibility that cannot lawfully be excluded.
15. Regional Shipping as a Service portals
Use the Shipping as a Service portal applicable to the fulfillment region:
|
Fulfillment region
|
Portal
|
|---|---|
|
North and South America
|
|
|
Europe and Africa
|
|
|
Asia Pacific
|
Contact Inmark before ordering if you are uncertain which portal applies.
Availability of an Application in a country does not, by itself, establish that every product, carrier service, or rental arrangement is available there.
16. Availability, support, and changes
Inmark may perform maintenance, updates, repairs, and security work that temporarily affect access.
Unless a customer-specific agreement provides otherwise, these Terms do not promise uninterrupted availability, a particular support response time, or a guaranteed service level.
We will use reasonable efforts to communicate planned material interruptions when practicable. Emergency work may occur without advance notice.
We may modify features, interfaces, integrations, and technical requirements. Where practicable, we will provide reasonable notice of planned changes that materially affect an active service or access to important records.
Changes do not, by themselves, cancel existing contractual obligations.
You are responsible for maintaining compatible devices, connectivity, and other systems needed for access.
Support is available at:
customerservice@inmarklifescience.com
17. Intellectual property
Inmark and its licensors retain their rights in the Applications, software, designs, documentation, trademarks, and training content.
Your access does not transfer ownership of those materials.
You may download or use records, certificates, and other materials only as permitted by the relevant feature and applicable service terms.
Permission to retrieve a certificate or transaction record does not grant permission to reproduce training content or redistribute Application software.
18. Records, deactivation, and retention
18.1 Deactivation and historical records
Removing or deactivating a User does not ordinarily delete historical information associated with that User.
Training, ordering, shipping, and rental records may remain associated with the relevant activity and Organization, subject to applicable law, privacy notices, and agreements.
18.2 Training records
Inmark currently maintains training records without a fixed scheduled deletion date. This describes the present practice and is not a contractual promise of permanent storage or uninterrupted lifetime access.
A former employee may request access to their own completion certificate or training history, subject to identity verification.
Historical training records will not be changed to represent that training completed under one employer was completed under a subsequent employer.
Organization-related updates to historical records must be handled through an authorized administrator of the original Organization, except where Inmark must address a verified correction request or legal obligation.
Loss of access to the original account email may prevent self-service access. Requests for assistance may be directed to customer service.
18.3 Shipping and rental records
Order, shipment, and rental history is retained in accordance with applicable accounting, business-record, contractual, and legal requirements.
Retention of a record does not necessarily mean that Application access will remain available for the same period.
18.4 Access and exports
Available viewing, downloading, and export functions depend on the Application and the User’s permissions.
Administrative access to personal information must be used only for authorized training, purchasing, shipping, rental, or related Organization purposes.
These restrictions do not limit rights or obligations that apply under privacy or other applicable law.
[BEFORE PUBLICATION: Confirm retention schedules and any post-termination access or record-request process.]
19. Suspension and account closure
Inmark may restrict, suspend, or deactivate access where reasonably necessary to:
- Address a security concern.
- Prevent unauthorized access or misuse.
- Investigate a material violation of these Terms.
- Comply with a legal requirement.
- Address overdue payment where permitted under the applicable agreement.
Where appropriate and practicable, we will provide notice and an opportunity to resolve the issue. Immediate action may be necessary for serious security or misuse concerns.
Authorized Organization administrators may remove or lock access within the permissions provided by the Application.
Account-closure requests may be sent to customer service.
Suspension or closure does not, by itself, determine refund eligibility, delete historical records, or end outstanding transaction obligations.
20. Warranties and disclaimers
Except as expressly provided in an applicable agreement, and to the extent permitted by law, the Applications are provided on an “as available” basis.
Inmark does not promise that access will be uninterrupted or that every error will be identified or corrected immediately.
[LEGAL REVIEW: Insert any appropriate disclaimer of implied warranties.]
This section does not override an express training commitment, product warranty, shipping obligation, rental performance commitment, or customer-specific agreement.
Nothing in these Terms excludes a right or warranty that cannot lawfully be excluded.
21. Limitation of liability
[COUNSEL TO COMPLETE BEFORE PUBLICATION.]
This section must establish:
- Any excluded categories of loss.
- The applicable liability limit and calculation method.
- Any service-specific limits.
- Exceptions to those limits.
- The relationship to liability provisions in customer-specific agreements.
- Any differences required for individual purchasers or particular jurisdictions.
Nothing in these Terms excludes or limits liability where doing so is prohibited by applicable law.
22. Governing law and disputes
[COUNSEL TO COMPLETE BEFORE PUBLICATION.]
The applicable governing law and dispute process must be identified for each Application provider, with any necessary treatment of regional transactions and individual purchasers.
A customer-specific agreement will control where it establishes the governing law or dispute process applicable to the same subject.
23. Changes to these Terms
We may revise these Terms from time to time.
The current version will show its effective date.
We will provide notice of material changes through an Application, email, or another appropriate channel. Where required, we will request renewed acceptance.
Changes will not retroactively alter an accepted transaction or separate agreement except as permitted by that agreement and applicable law.
24. General provisions
If a provision is found unenforceable, the remaining provisions will remain effective to the extent permitted by law.
Failure to enforce a provision on one occasion does not waive the right to enforce it later.
Provisions intended to continue after access ends will survive, including applicable provisions concerning intellectual property, historical records, outstanding obligations, liability, and disputes.
