Inmark Life Science Packaging and Shipping Service Terms

Effective date: [INSERT DATE]
Version: [INSERT VERSION]

1. Introduction and scope

These Packaging and Shipping Service Terms (“Service Terms”) govern Packaging orders, Shipping Labels, generated documents, and related services accessed through the Inmark Life Science Shipping as a Service application (“Application”).

The Application is provided by Inmark, LLC, through its Life Science division, operating under the Inmark Life Science customer-facing name.

Regional Inmark entities may sell, fulfill, or support particular products or services. The responsible entity will be identified in the applicable Customer Agreement, order documentation, or transaction terms.

“Inmark,” “we,” “us,” and “our” refer to the Inmark entity responsible for the relevant product or service.

These Service Terms supplement the Inmark Life Science Application Terms of Use (“Application Terms”).

[LEGAL REVIEW: Confirm the contractual roles of Inmark, LLC, Inmark Europe B.V., and Inmark SG Pte. Ltd.]

2. Definitions

In these Service Terms:

  • “Customer” means the Organization purchasing Packaging or using related services.
  • “Authorized User” means an individual permitted to act for the Customer through the Application.
  • “Administrator” means an individual authorized to configure or administer the Customer’s Organization or business-unit settings.
  • “Packaging” means packaging products and associated components supplied by Inmark.
  • “Payload” means the contents the Customer places into Packaging for shipment.
  • “Carrier” means the transportation provider handling a shipment.
  • “Shipping Label” means a Carrier label generated for an identified shipment.
  • “Packaging Delivery” means transportation of purchased Packaging from the fulfillment location to the Customer’s specified delivery location.
  • “Payload Shipment” means transportation of the Customer’s Payload using Inmark-provided Packaging.
  • “Ship Now” means the Application workflow used to generate a Payload Shipping Label and associated documents, either with a Packaging order or for eligible Inmark-provided Packaging already available to the Customer.
  • “Customer Agreement” means a separate agreement entered into between the Customer and the relevant Inmark entity.

3. Relationship to other agreements and policies

A Customer Agreement takes priority over these Service Terms and general policies to the extent they conflict on the same subject.

Subject to a Customer Agreement:

  • These Service Terms control over the Application Terms for Packaging and shipping-specific matters.
  • Applicable product specifications and expressly agreed order conditions govern the products and services they describe.
  • Applicable Carrier terms govern the Carrier’s transportation services, subject to mandatory law.

Entering or uploading a purchase order does not, by itself, make its additional terms binding on Inmark.

Personal information associated with the Application is addressed in the application privacy notice:

https://shop.inmarklifescience.com/policies/Application-Privacy-Policy

[BEFORE PUBLICATION: Confirm the privacy notice is published and reconcile these Service Terms with applicable storefront sales, shipping, and refund policies.]

4. Customer approval and purchasing authority

An authorized representative may establish an Organization account.

Before the Customer can place its first order, Inmark must review the Organization and create an internal customer identifier.

Following approval, credit-card purchasing may be enabled. Purchasing on credit terms requires separate credit approval.

Creating a purchase-order record in the Application does not establish credit approval or modify agreed payment terms.

The Customer is responsible for assigning appropriate purchasing and administrative permissions and ensuring that Authorized Users have authority to perform their activities.

Application approval settings and purchasing controls support the Customer’s internal procedures but do not replace its responsibility to manage purchasing authority.

5. Regional ordering portals

Orders must be placed through the portal applicable to the fulfillment region:

Fulfillment region Portal
North and South America https://us.saas.inmarklifescience.com/
Europe and Africa https://nl.saas.inmarklifescience.com/
Asia Pacific https://sg.saas.inmarklifescience.com/

Inmark fulfills orders from applicable warehouses using supported and available Carriers and services.

If a route, destination, Carrier service, or shipment option is unavailable, Inmark is not obligated to identify or provide an alternative unless expressly agreed.

For an accepted order that cannot be fulfilled as agreed, Section 6.5 applies, together with the applicable Customer Agreement and law.

6. Packaging orders and Ship Now

6.1 Packaging orders

Before submitting an order, the Customer must review:

  • Packaging type, configuration, and quantity.
  • The identified Payload and intended use.
  • Included components, marks, labels, and documents.
  • Delivery addresses.
  • Associated Ship Now information.
  • Charges, fees, and applicable discounts.
  • Billing and purchase-order information.

6.2 Ship Now with Packaging

When a Payload Shipping Label is requested at the same time as Packaging, the label and associated services form part of the Ship Now order.

The Application displays the applicable Inmark charges before checkout.

Including a label in the order does not mean that Payload transportation charges are paid to Inmark or included in the Packaging price. Carrier billing remains governed by the Customer’s Carrier account and applicable Carrier terms.

6.3 Ship Now without a Packaging order

The Customer may use Ship Now to generate a Payload Shipping Label without purchasing additional Packaging where the workflow permits.

The Customer must accurately identify the Inmark-provided Packaging it will use.

The Customer must not select a Packaging configuration merely to obtain a label for different or unsupported packaging.

6.4 Order acceptance and cancellation

Orders are accepted immediately when successfully placed through the Application and are transmitted directly to Inmark’s fulfillment team.

Because fulfillment processing begins immediately, Customers cannot cancel a placed order, except where Inmark expressly offers cancellation under Section 6.5 or cancellation is required by applicable law.

Eligible unused Packaging may be returned under Section 15. A return is separate from an order cancellation.

6.5 Unavailable items and fulfillment issues

If Inmark cannot fulfill an item or order as placed, Inmark will notify the Customer within seven days after the order is placed.

If inventory is unavailable but expected to become available, the Customer will be given the choice to:

  • Keep the affected item or order in the fulfillment queue; or
  • Cancel the affected item or order.

If the Customer elects cancellation, any amount already paid for the canceled item or order will be refunded. An order canceled under this section is not a merchandise return and is not subject to the 20% restocking fee.

If Inmark cannot fulfill the affected item or order and no replenishment is expected, Inmark will notify the Customer and cancel and refund the unfulfilled portion, unless the parties agree to another arrangement.

[CONFIRM BEFORE PUBLICATION: Whether “seven days” means calendar days or business days. Confirm the refund process and treatment of orders for which no replenishment is expected.]

7. Separate shipping activities and Carrier accounts

Packaging Delivery and Payload Shipment are separate activities, even when arranged through the same order.

Shipment Carrier account used
Packaging Delivery An Inmark account or a Customer account configured for that purpose.
Payload Shipment The Customer’s Carrier account only.

Shipping or handling fees may apply to Packaging Delivery, including where the Customer’s Carrier account is used.

Inmark does not provide Payload Shipping Labels on an Inmark Carrier account through this service.

A Packaging Delivery tracking event does not establish the status of a Payload Shipment. Creating a Payload Shipping Label does not mean that the Carrier has collected or accepted that shipment.

8. Administrator configuration and generated information

8.1 Customer-controlled configuration

Administrators configure the Organization and business-unit settings used to generate Shipping Labels and associated documents.

Configuration may include:

  • Carrier accounts and services.
  • Origin and destination addresses.
  • Packaging selections.
  • Preset shipment information.
  • Required User inputs.
  • Digital documents.
  • Custom data sheets.
  • Other supported shipping settings.

Some workflows use preset information without further input. Others prompt Authorized Users to provide additional information.

8.2 Inmark guidance

Inmark may explain available features or provide guidance on configuration.

Inmark does not configure the Customer’s Admin+ settings on its behalf.

Guidance does not constitute approval of the Customer’s final configuration, Payload classification, or shipping process unless Inmark expressly agrees otherwise in writing.

8.3 Customer verification

The Customer is responsible for reviewing its configurations and resulting outputs before operational use and after material changes.

Administrators must ensure that required fields, defaults, documents, and shipping options are appropriate for the Organization’s intended activities.

9. Packaging selection and included items

Product information identifies the items included with each Packaging configuration.

Inmark offers Packaging configurations intended to support the identified Payload and shipping use. That intended use depends on accurate Payload identification, correct configuration, and compliance with applicable preparation instructions.

Incorrect Payload identification or configuration may result in selection of Packaging that lacks required components, documentation, marks, or labels.

The Customer must verify that the selected configuration is appropriate for its actual Payload and shipment.

Where customized Packaging SKUs or additional components are required, the Customer should contact its Inmark sales representative. Customization is subject to review and express agreement.

Inmark supports Payloads only where it provides Packaging intended to transport those Payloads safely under the applicable requirements and within the supported service scope.

Nothing in this section reduces Inmark’s responsibility for the conformity of supplied Packaging with its specifications or an express commitment.

10. Payload preparation and shipping responsibilities

The Customer is responsible for its Payload, its preparation, and its proper shipment using the Packaging.

Unless expressly agreed otherwise, the Customer must:

  • Identify and classify the Payload correctly.
  • Select the appropriate Packaging and service.
  • Inspect Packaging before use.
  • Follow assembly, loading, conditioning, and closure instructions.
  • Observe applicable quantity, weight, and temperature limits.
  • Apply required marks and labels.
  • Review and complete required documents.
  • Ensure personnel have appropriate training.
  • Confirm Carrier acceptance requirements.
  • Comply with applicable shipping, import, export, and customs requirements.

Do not use damaged, incomplete, or unsuitable Packaging.

Product performance statements must be read with their stated configuration, conditioning, Payload, duration, and test assumptions.

Inmark remains responsible for functions it expressly agrees to perform and responsibilities imposed on it by applicable law.

11. Shipping Labels and additional documents

11.1 Generation

The Application generates Shipping Labels and additional documents using the configured presets and any required User inputs.

Available additional documents may include digital documents and custom data sheets configured by Administrators.

Generating a document does not establish that all its information is accurate or that every applicable requirement has been satisfied.

11.2 Review before shipment

The Customer must review material information, including:

  • Sender and recipient.
  • Origin and destination.
  • Carrier and service.
  • Packaging configuration.
  • Weight and dimensions.
  • Payload information.
  • Required declarations and supporting documents.

If preset data is incorrect or the Application does not permit a necessary correction, contact the Administrator or Inmark before shipping.

11.3 Permitted label use

A Shipping Label may be used only for its intended shipment.

The Customer must not duplicate, reuse, materially alter, or apply it to a different shipment without authorization.

11.4 Validity

Label validity depends on the Carrier’s requirements and any limitations associated with how the label was generated.

The ability to download or reprint a label does not establish that it remains valid.

11.5 Regulatory limitations

A Carrier label is not a substitute for all required dangerous-goods marks, labels, declarations, permits, or other documentation.

The Customer must review the items supplied and determine whether additional steps are required for the actual shipment.

12. Fees, Carrier charges, and billing corrections

12.1 Inmark fees

Applicable Inmark charges are determined and displayed during checkout.

Fees for additional Shipping Labels, digital documents, custom data sheets, or related services are shown before the Authorized User completes the order.

Administrators may access the applicable fee guide through Admin+, including negotiated discounts.

12.2 Customer Carrier charges

Payload transportation charges are governed by the Customer’s Carrier account arrangements.

The Customer is responsible for Carrier charges and third-party charges resulting from inaccurate or incomplete Customer configurations or User inputs.

Examples include additional charges arising from incorrect weight, dimensions, addresses, customs information, or service selections.

Inmark does not assume those charges merely because the Application generated the label or document.

12.3 Material software or pricing errors

If Inmark identifies a material software or pricing error that resulted in an undercharge, Inmark will present evidence to the Customer identifying:

  • The nature of the error.
  • The affected transaction or transactions.
  • The amount of the proposed correction.
  • The basis for calculating that amount.

Inmark will work with the Customer to agree on an acceptable repayment method and arrangement.

A proposed correction does not, by itself, authorize Inmark to debit a stored payment method. Any payment must be processed through the agreed repayment arrangement and applicable payment authorization.

Disputes that cannot be resolved through this process remain subject to the applicable Customer Agreement and dispute provisions.

13. Payload pickup and Carrier services

Payload pickup is not included and is not scheduled automatically.

The Customer must arrange any required pickup or tender the shipment through an authorized Carrier location or process.

The Customer is responsible for meeting applicable cutoff times and obtaining appropriate evidence of handover where available.

Carrier service availability, transit estimates, guarantees, restrictions, and transportation obligations are governed by the applicable Carrier terms.

Inmark is not obligated to obtain an alternative Carrier or route if the selected option is unavailable unless expressly agreed.

14. Label voids and Carrier refunds

14.1 Void requests

The Customer may submit a request to void a Payload Shipping Label through the supported process.

Inmark acts as an intermediary by transmitting the request through the Carrier’s API.

Submitting a request does not guarantee that the Carrier will accept it or issue a refund or credit.

Eligibility, deadlines, billing treatment, and any refund are governed by the relationship between the Customer and Carrier.

The Customer must verify the outcome and must not use a label after it has been voided.

14.2 Carrier charges

Whether an unused label incurs a Carrier charge depends on the applicable Carrier account terms and service.

No universal “no scan, no charge” rule is promised.

14.3 Inmark fees following a label void

Inmark fees for generating or providing Shipping Labels or documents are non-refundable following a Carrier void, whether or not the Carrier approves the void or issues a credit.

Voiding a Payload Shipping Label does not cancel a Packaging order, refund an Inmark service fee, or change the Customer’s separate payment obligations.

Nothing in this section limits rights or remedies that cannot lawfully be excluded.

15. Packaging returns

15.1 Eligible merchandise

Packaging may be returned only if it is:

  • Unused.
  • Undamaged.
  • In its original shipping state and original packaging.

Returns that do not meet these conditions are not eligible for the ordinary merchandise-return process.

15.2 Return arrangements and costs

The Customer is responsible for arranging and paying for return shipping to Inmark.

Contact customer service before dispatch to obtain the appropriate return destination and shipping instructions.

Do not return Packaging containing a Payload or contaminated materials through the ordinary merchandise-return process.

15.3 Restocking fee

A restocking fee equal to 20% of the refundable merchandise value will be deducted from the merchandise refund.

Refund eligibility is subject to confirmation that the returned merchandise meets the requirements of this section.

15.4 Other rights and remedies

This section addresses returns of unused merchandise. It does not limit remedies for incorrect, defective, or nonconforming goods, or rights that cannot lawfully be excluded.

[CONFIRM BEFORE PUBLICATION: The return-request deadline, if any, and whether original delivery and handling charges are refundable.]

16. Shipment claims and coverage

16.1 No Inmark-provided shipment protection

Inmark does not include or offer additional shipment insurance or shipment-protection coverage through the Application.

Purchasing Packaging, obtaining a Shipping Label, or paying an Inmark service fee does not purchase such coverage.

Any Carrier liability, compensation, or other recovery remains subject to the applicable Carrier terms and law. It is separate from insurance or protection offered by Inmark.

16.2 Customer-account shipments

For shipments made on the Customer’s Carrier account, the Customer is responsible for:

  • Determining what Carrier liability or coverage applies.
  • Arranging any additional coverage it requires outside the Application.
  • Submitting and pursuing Carrier claims.
  • Meeting applicable notice, evidence, and claim deadlines.

This applies to all Payload Shipments and to Packaging Deliveries made on the Customer’s account.

16.3 Inmark-account Packaging Deliveries

For Packaging Deliveries made on an Inmark Carrier account, Inmark will handle any Carrier claim that must be submitted by the account holder.

Any available recovery is subject to the Carrier’s terms, limits, exclusions, and claim determination. Use of Inmark’s Carrier account does not create an independent promise of insurance or compensation from Inmark.

[CONFIRM BEFORE PUBLICATION: How any Carrier recovery will be applied or passed to the Customer.]

16.4 Reporting and cooperation

The Customer must promptly report shipment loss or damage and provide reasonably requested information needed to support a claim.

Where safe and appropriate, preserve Packaging, photographs, tracking information, proof of value, and other relevant evidence.

These Carrier-claim arrangements do not eliminate responsibility Inmark has for its own breach or other obligations under an applicable agreement or law.

17. Ownership, delivery, and risk of loss

The Customer retains ownership of its Payload. Inmark does not acquire ownership of the Payload by supplying Packaging, Shipping Labels, documents, or Application functionality.

Inmark is responsible for supplying the ordered Packaging and properly tendering it to the Carrier in accordance with the order information and applicable agreed obligations.

For Packaging Delivery:

  • Ownership of purchased Packaging transfers at [INSERT AGREED TITLE-TRANSFER POINT].
  • Risk of loss or damage transfers at [INSERT AGREED RISK-TRANSFER POINT].
  • The applicable delivery term and named location will be stated in the Customer Agreement or order documentation.

After taking responsibility for the Packaging, the Customer is responsible for its proper storage, handling, preparation, and use in Payload Shipments, subject to Inmark’s continuing product and contractual obligations.

[LEGAL REVIEW: “FOB” has been identified as the intended delivery term, but the named location, governing framework, and precise transfer points remain to be confirmed. Complete this section before publication.]

18. Personal and sensitive information

Provide only personal information reasonably necessary for ordering, billing, shipping, and support.

Use business or Organization contact information where practicable.

Do not include unnecessary patient identifiers, clinical details, or unrelated third-party personal information in shipment references, custom fields, documents, or attachments.

Necessary recipient information may be supplied where the Customer has an appropriate basis to provide it.

The availability of a configurable field does not establish that the Application is approved for sensitive information.

Contact Inmark before submitting identifiable patient or clinical information believed necessary for a workflow.

19. Records and continuing obligations

Order and shipment records remain subject to the access, retention, and account-management provisions of the Application Terms and applicable privacy notice.

Deactivating a User or ending use of the Application does not cancel accepted orders, outstanding invoices, properly established adjustments, or other continuing obligations.

Purchasing restrictions for overdue amounts remain subject to the applicable agreements and law.

20. Warranties, liability, and disputes

Applicable product warranties and Customer Agreements remain effective.

General Application warranties, liability, governing-law, and dispute provisions are addressed in the Application Terms, subject to customer-specific agreements.

Nothing in these Service Terms excludes rights or responsibility that cannot lawfully be excluded.

[LEGAL REVIEW: Finalize liability provisions addressing Packaging defects, generated documents, software errors, transportation, and Payload losses before publication.]
